DigiWomen Terms of Service Welcome to DigiWomen Welcome to DigiWomen, a Laval-based nonprofit organization dedicated to transforming the digital landscape through female empowerment and inclusion. These Terms of Service (“Terms”) govern your use of the DigiWomen website, platform, programs, services, and resources (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. 1. Acceptance of Terms 1.1. By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. 1.2. If you are accessing or using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. 1.3. DigiWomen reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our Services following any changes constitutes your acceptance of such changes. 2. User Accounts 2.1. Some portions of our Services require registration and the creation of a user account. When registering, you agree to provide accurate, current, and complete information. 2.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. 2.3. You agree to notify DigiWomen immediately of any unauthorized use of your account or any other breach of security. 2.4. DigiWomen reserves the right to terminate or suspend your account at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, DigiWomen, third parties, or for any other reason. 3. User Conduct 3.1. You agree to use our Services only for lawful purposes and in accordance with these Terms. 3.2. You agree not to: Use the Services in any way that violates any applicable federal, provincial, local, or international law or regulation Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Services Use the Services to harass, abuse, or harm another person or to distribute content that is defamatory, obscene, or discriminatory Attempt to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services Use any robot, spider, or other automatic device to access or manipulate the Services Introduce any viruses, Trojan horses, worms, or other material that is malicious or technologically harmful 4. Content 4.1. Our Services may allow you to post, submit, or share content, including but not limited to text, images, videos, and comments (“User Content”). 4.2. By posting User Content, you grant DigiWomen a nonexclusive, worldwide, royalty-free license to use, reproduce, modify, display, and distribute that content in connection with the Services and DigiWomen’s mission. 4.3. You represent and warrant that: You own or have the necessary rights to the User Content you post The User Content does not violate the rights of any third party, including intellectual property rights and privacy rights The User Content does not contain any material that is defamatory, obscene, or otherwise objectionable 4.4. DigiWomen reserves the right to remove any User Content at our sole discretion and without notice. 5. Programs and Events 5.1. DigiWomen offers various programs, workshops, events, and networking opportunities, including J’ose la Tech, Women Tech Talk, and Académie TechMoms. Participation in these activities may be subject to additional terms, conditions, and eligibility requirements. 5.2. DigiWomen reserves the right to modify, reschedule, or cancel any program or event at our discretion. 5.3. You understand that certain programs may include evaluation components and that completion or certification may be contingent upon meeting specific requirements. 6. Intellectual Property 6.1. The Services and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are owned by DigiWomen, its licensors, or other providers and are protected by Canadian and international copyright, trademark, and other intellectual property laws. 6.2. These Terms do not grant you any right, title, or interest in the Services or our content. 6.3. DigiWomen’s name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of DigiWomen. You may not use such marks without DigiWomen’s prior written permission. 7. Third-Party Content and Links 7.1. The Services may contain links to third-party websites, resources, or services that are not owned or controlled by DigiWomen. 7.2. DigiWomen has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. 7.3. You acknowledge and agree that DigiWomen shall not be responsible or liable for any damage or loss caused by your use of any such third-party content, goods, or services. 8. Disclaimer of Warranties 8.1. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. 8.2. DIGIWOMEN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. 8.3. DIGIWOMEN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS, IF ANY, WILL BE CORRECTED. 9. Limitation of Liability 9.1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DIGIWOMEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES. 9.2. IN NO EVENT SHALL DIGIWOMEN’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING OUR SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM. 10. Indemnification 10.1. You agree to defend, indemnify, and hold harmless DigiWomen, its officers, directors, employees, volunteers, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services. 11.
